As a Shareholder, you have the right to request and have access to the company’s annual accounts in accordance with section 423 Companies Act 2006, and can also request access to the records of resolutions and meetings in accordance with section 358 Companies Act 2006.

The accounts and resolutions may not tell the full story however and your concerns may be broader than the above narrow issues. For example, if you have not passed resolutions and do not have transparency on information or the financial position of the company, is there a concern of wrongdoing? Requesting disclosure/the provision of information on the basis of unfair prejudice can be a useful way to improve your position and ensure your rights as a Shareholder (even a minority Shareholder) are protected.
