A director is an individual who leads and oversees a company, group, project or program. A directorship is a formal statutory position in England and Wales, with Directors registered with Companies House. Formal directors are defined within s.250 Companies Act 2006. Often, companies have multiple directors presiding over separate areas of that company, such as “HR director”. A managing director has responsibility for the company’s overall performance. Statutory directors owe duties to the company to make decisions for the benefit of the company rather than for themselves. Over time there has been an increase in the title ‘director’ being used to recognise senior staff but where they are not registered as formal ‘directors’ with Companies House. This can lead to confusion over the duties, rights and obligations of the person concerned.
